By accessing this website, submitting an enquiry, or otherwise engaging with Solidum Global, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you should not use this website or submit an enquiry.

These Terms apply to all users of this website. Use of this website is permitted only by commercial or professional entities acting in a business capacity. This website is not intended for use by consumers.

  • "Partner" refers to any surety provider, guarantor, broker, financial institution, or other third party within the Solidum Global network to whom an enquiry may be referred.
  • "Enquiry" refers to any request for assistance submitted by you through this website or through any other means of communication with Solidum Global.
  • "Bond" or "Guarantee" refers to any performance bond, advance payment bond, or other contractual surety or guarantee instrument that may be sourced through our Partners.
  • "Website" refers to the Solidum Global website and all pages and content contained within it.

 

3. Nature of Services

3.1 Facilitation Only

Solidum Global operates exclusively as a business-to-business facilitation and introduction platform. We do not issue, underwrite, or guarantee any surety bond, contractual guarantee, or financial product. We do not act as an insurer, a bank, or a regulated financial services provider.

Our role is limited to receiving your enquiry, assessing your requirements, and introducing you to one or more Partners within our network who may be positioned to assist. All bond or guarantee products are provided directly by our Partners, not by Solidum Global.

3.2 No Regulated Advice

Nothing provided by Solidum Global through this website, through correspondence, or through any other communication constitutes regulated financial advice, investment advice, insurance advice, or any other form of regulated advice. We do not advise on the suitability of any product or provider for your specific circumstances.

You are responsible for obtaining independent professional advice as to the suitability of any bond or guarantee product for your needs, and for ensuring compliance with the regulatory requirements applicable in your jurisdiction.

3.3 No Guarantee of Outcome

Submitting an enquiry does not guarantee that Solidum Global will be able to identify a suitable Partner, or that any Partner will be willing or able to provide the product or service you require. We will use reasonable endeavours to assess your enquiry and connect you with relevant Partners, but we give no warranty as to the availability, terms, pricing, or regulatory acceptability of any product in any territory.

3.4 Partner Independence

Our Partners are independent third parties. Solidum Global does not control, direct, or supervise the activities of any Partner, and we accept no responsibility for the conduct, advice, products, or services of any Partner. Any agreement entered into between you and a Partner is a matter solely between you and that Partner.

4. Eligibility and Permitted Use

This website and the Services are available only to commercial entities and professional individuals acting in a business capacity. By using this website you represent and warrant that:

  • You are a business, company, partnership, sole trader, or other commercial entity, or a professional individual acting on behalf of such an entity.
  • You are not a consumer as defined under applicable consumer protection legislation.
  • You have the authority to bind the entity on whose behalf you are acting to these Terms.
  • Your use of this website and the Services complies with all applicable laws and regulations in your jurisdiction.

Solidum Global reserves the right to decline any enquiry, refuse access to the website, or terminate any engagement at its sole discretion and without obligation to provide reasons.

5. Enquiry Process and Engagement

5.1 Submission of Enquiries

Enquiries submitted through this website are received by Solidum Global on a no-obligation basis. Receipt of an enquiry does not constitute acceptance of any instruction or create any contractual obligation on the part of Solidum Global to provide any service.

5.2 Assessment and Introduction

Following receipt of an enquiry, Solidum Global will assess whether the enquiry falls within the scope of its network and, where appropriate, introduce you to one or more Partners who may be able to assist. This introduction does not create any contractual relationship between Solidum Global and you in respect of the underlying bond or guarantee product.

5.3 Accuracy of Information

You are responsible for ensuring that all information provided in connection with an enquiry is accurate, complete, and not misleading. Solidum Global relies on the information you provide in order to assess your requirements and make appropriate introductions. We accept no liability for any loss or delay arising from inaccurate or incomplete information provided by you.

5.4 Confidentiality of Enquiries

Solidum Global will treat information provided in connection with your enquiry as confidential and will not disclose it to third parties other than relevant Partners for the purpose of assessing and progressing your enquiry, or as required by law. Please refer to Section 11 (Data Protection and Privacy) for further information on how we handle your data.

6. Remuneration

Solidum Global is remunerated in connection with its facilitation services. Our remuneration is derived from the fees paid in connection with the procurement of a bond or guarantee through our Partner network. Our remuneration is not a fixed commission and varies by Provider, product type, territory, and transaction.

Our remuneration is included within the overall fee or premium paid in connection with the bond or guarantee. We do not charge a separate fee directly to you unless otherwise agreed in writing in advance.

Solidum Global receives no remuneration unless and until a bond or guarantee is successfully procured and paid for. You are under no obligation to proceed with any introduction made by Solidum Global and no fee or charge will be applied to you in connection with an enquiry that does not result in a completed transaction.

Where Solidum Global has a financial interest in a particular Partner or product, we will disclose this to you upon request. You may ask us at any time to confirm the nature and approximate level of any remuneration we expect to receive in connection with your enquiry.

7. International Operations and Regulatory Compliance

7.1 Jurisdictional Variation

Solidum Global operates as a facilitation platform across multiple international territories. The regulatory treatment of surety bonds, contractual guarantees, and the facilitation of such products varies significantly between jurisdictions. It is your responsibility to determine the regulatory framework applicable to surety and guarantee products in your jurisdiction, and to ensure that any bond or guarantee procured through our network is acceptable and legally effective for your purposes.

7.2 No Regulatory Authorisation Claimed

Solidum Global does not hold, and does not claim to hold, regulatory authorisation or licensing in any jurisdiction in respect of its facilitation activities. Nothing on this website constitutes a financial promotion, solicitation, or offer in any jurisdiction where such activity would require authorisation not held by Solidum Global.

Where local authorisation or licensing is required for the provision, arrangement, or intermediation of surety or guarantee products, such activities are conducted exclusively by our Partners who hold the relevant authorisations in their respective territories.

7.3 Your Regulatory Obligations

You are solely responsible for ensuring that your procurement of any bond or guarantee product complies with all applicable laws, regulations, and licensing requirements in your jurisdiction and in the jurisdiction of the underlying contract. Solidum Global accepts no liability for any regulatory breach arising from your use of our Services or your procurement of any product through our network.

7.4 Sanctions and Restricted Territories

Solidum Global does not facilitate transactions involving parties or territories subject to applicable sanctions, including but not limited to those imposed by the United Kingdom, the United Nations, the European Union, or the United States of America. By submitting an enquiry you confirm that neither you, nor the underlying project, nor any party to the relevant contract is subject to applicable sanctions restrictions.

8. Website Use and Intellectual Property

8.1 Permitted Use

You may access and use this website for the purpose of obtaining information about Solidum Global and its Services, and for submitting enquiries in connection with genuine commercial requirements. You may not use this website for any unlawful purpose or in any manner that could damage, disable, or impair the website or interfere with any other party's use of it.

8.2 Intellectual Property

All content on this website, including but not limited to text, graphics, logos, and the Solidum Global name and brand, is the property of Solidum Global or its licensors and is protected by applicable intellectual property laws. 9. Limitation of Liability

9.1 Scope of Liability

To the fullest extent permitted by applicable law, Solidum Global excludes all liability for any loss or damage arising from or in connection with your use of this website, your submission of an enquiry, or any introduction made by Solidum Global to a Partner.

9.2 Exclusion of Consequential Loss

Solidum Global shall not be liable for any indirect, consequential, special, or incidental loss or damage of any kind, including but not limited to loss of profit, loss of revenue, loss of contract, loss of business opportunity, or damage to reputation, whether arising in contract, tort (including negligence), or otherwise, even if Solidum Global has been advised of the possibility of such loss.

9.3 Liability Cap

Where liability cannot be excluded by law, Solidum Global's total aggregate liability to you in connection with any enquiry, introduction, or transaction shall not exceed the total amount of facilitation remuneration actually received by Solidum Global in connection with that specific enquiry or transaction. Where no such remuneration has been received, Solidum Global's liability shall not exceed £500.

9.4 Partner Liability

Solidum Global accepts no liability whatsoever for the acts, omissions, advice, products, or services of any Partner. Any claim arising from the conduct of a Partner, or from any bond or guarantee product provided by a Partner, must be brought against that Partner directly.

9.5 Force Majeure

Solidum Global shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, war, sanctions, regulatory intervention, or failure of third-party systems or services.

10. Indemnity

You agree to indemnify and hold harmless Solidum Global from and against any claims, losses, damages, costs, and expenses (including reasonable legal fees) arising from or in connection with:

  • Your breach of these Terms.
  • Any inaccurate, incomplete, or misleading information provided by you in connection with an enquiry.
  • Your use of the Services in a manner that violates any applicable law or regulation.
  • Any claim brought against Solidum Global by a third party as a result of your conduct.

 

11. Data Protection and Privacy

Nothing in this clause shall limit Solidum Global's right to take proceedings against you in any other court of competent jurisdiction, nor shall the taking of proceedings in any one or more jurisdictions preclude the taking of proceedings in any other jurisdiction.

15. General Provisions

15.1 Entire Agreement

These Terms constitute the entire agreement between you and Solidum Global in respect of your use of this website and the submission of enquiries, and supersede all prior representations, agreements, and understandings between the parties in relation to the same.

15.2 Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms and the remaining provisions shall continue in full force and effect.

15.3 Waiver

No failure or delay by Solidum Global in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver of any breach of these Terms shall not constitute a waiver of any subsequent breach.

15.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Solidum Global. Solidum Global may assign or transfer its rights and obligations under these Terms without restriction.

15.5 Third Party Rights

These Terms do not confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999 or otherwise.
